Proxylity Terms of Service

1. Acceptance of Terms

By accessing and using proxylity.com ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service. These Terms constitute a binding agreement between you and Proxylity.

2. Description of Service

Proxylity is a network routing tool that allows users to register, configure, connect and manage network endpoints connected to AWS resources. The Service is provided "as is" and "as available" without any warranties of any kind.

3. User Accounts

3.1. You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account and credentials.

3.2. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.3. You have the right to access, correct, or delete your personal data at any time.

3.4. Your Proxylity account must be connected with yor AWS account via AWS Marketplace, and charges for use of Proxylity will be included in your AWS bill.

4. User Responsibilities

4.1. You are responsible for all activities that occur under your account.

4.2. You agree not to use the Service for any illegal or unauthorized purpose.

4.3. You must not transmit any worms, viruses, or any code of a destructive nature.

4.4. You agree to comply with all applicable US laws and regulations in your use of the Service.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Proxylity and are protected by US and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. Data Privacy

6.1. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.2. We collect and process your personal data only to the extent necessary for the performance of our contractual obligations and in compliance with US data protection laws.

6.3. You have the right to request information about your stored data, its origin, its recipients, and the purpose of its collection at no charge. You also have the right to request that it be corrected, blocked, or deleted.

7. Termination

7.1. We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

7.2. Upon termination, your right to use the Service will immediately cease.

7.3. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

8. Limitation of Liability

8.1. To the extent permitted by US law, in no event shall Proxylity, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

8.2. This limitation of liability does not apply to damages resulting from intent or gross negligence on the part of Proxylity.

9. Changes to Terms

9.1. We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

9.2. What constitutes a material change will be determined at our sole discretion, in good faith and using common sense and reasonable judgment.

9.3. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

10. Governing Law and Jurisdiction

10.1. These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

10.2. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Oregon.

11. Dispute Resolution

Any dispute, controversy, or claim arising out of or in relation to these Terms, including the validity, invalidity, breach, or termination thereof, shall be resolved by arbitration.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

13. Entire Agreement

These Terms constitute the entire agreement between you and Proxylity regarding the use of the Service, superseding any prior agreements between you and Proxylity (including, but not limited to, any prior versions of the Terms of Service).

14. Language

The original language of these Terms is English. In case of any discrepancies between the English version and any translated version, the English version shall prevail.
